Eligibility Criteria:
  • Should be a member of recognized body of professional accountants or a member of recognized body of corporate or chartered secretaries or holding a master degree in business administration or commerce or being a law graduate from a university recognized by the HEC or in case of foreign qualification in the above disciplines, candidates have to submit an equivalency certificate from HEC of Pakistan at the time of interview to validate that they possess the required education.
  • Should be having at least 10 years of relevant experience in a Public/ Private sector company.
  • Having exposure in administrative matters will be considered as an added advantage in the selection process.
  • Should meet criteria as set out in “Fit and Proper Test” of State Bank of Pakistan.
Main Duties / Responsibilities:
  • Prepare and review agendas and takes minutes of board or its sub-committees’ meetings, annual general meeting (AGM) and any other meeting of members. Contribute to the meeting discussions as and when required, and advise members on the legal, governance issues.
  • Ensure that all the regulatory requirements relating to meetings are compiled before and after the meeting.
  • Liaison with external regulators (SBP, SECP), advisors, lawyers and auditors.
  • Ensure decisions taken in board meeting and any other meetings are communicated to the company’s stakeholders and appropriate and timely action is taken on those decisions.
  • Ensure compliance with all the relevant statutory and regulatory matters under the Companies Act, 2017, SBP framework and any other regulations.
  • Act as a point of communication between the board of directors and company stakeholders.
  • Ensure all the regulatory reporting is carried out as per requirement.
  • Ensure that all periodical returns are made to regulatory bodies as appropriate and in the correct format.
  • Perform any other responsibility as assigned by the Chief Executive Officer or any other competent authority from time to time.
